KLA-Tencor Appoints Stephen P. Kaufman To Its Board of Directors

SAN JOSE, Calif., Nov. 18, 2002-KLA-Tencor (NASDAQ: KLAC) today announced that electronics industry veteran, Stephen P. Kaufman, is joining its board of directors. Kaufman brings extensive executive leadership experience to KLA-Tencor as the retired chairman and chief executive officer of Arrow Electronics, a leading distributor of semiconductor and electronic components to the global technology industry. In addition to being a faculty member of the Harvard Business School, where he lectures in the Technologies and Operations Management unit of the MBA program, he currently serves on the board of directors at Arrow Electronics and Harris Corporation.

"With his broad range of knowledge and experience, Steve further augments our strong executive leadership team. His experience in executing a strategic vision at a diversified, multi-billion dollar electronics industry leader will enhance our strategic planning efforts," said Ken Levy, chairman of KLA-Tencor's board of directors. "I am pleased to announce the shareholder election of Steve to our board and welcome him to KLA-Tencor. His background is ideally suited to helping our company position itself to capitalize on our next stage of growth."

In addition to his previous roles as chairman and chief executive officer at Arrow, Kaufman served in executive capacities at Midland-Ross Corporation and was a partner at McKinsey and Company, a leading management consulting agency. He holds a bachelor of science degree in economics and engineering from the Massachusetts Institute of Technology, and a master's degree in business administration from the Harvard Business School. Kaufman is assuming the board seat vacated by the retirement of Dean Morton, who served as a board member for nearly ten years.
